Terms of Service

These terms govern your use of TapeMemories, operated by Ziptar Labs LLC ("we", "us", "our"). By using our service, you agree to these terms.

1. The Service

TapeMemories provides AI-powered indexing of digitized home tapes. You upload tape files, we process them to create a searchable Memory Gallery with scene descriptions and transcriptions.

2. Your Content

Ownership: You retain all rights to your tapes. We claim no ownership of your content.

License: By uploading, you grant us a limited license to process, store, and display your tapes solely for providing the service to you.

Your Responsibility: You represent that:

• You own or have rights to the tapes you upload
• Your tapes do not violate any laws or third-party rights
• You have consent from people appearing in your tapes (or they are family members / people you have a reasonable expectation to share home tapes with)

3. Acceptable Use

You may not:

• Upload content that is illegal, abusive, or violates others' rights
• Upload content you don't have rights to
• Attempt to access other users' collections or data
• Use the service for commercial surveillance or monitoring
• Reverse engineer or attempt to extract our AI models
• Abuse the service in ways that degrade it for others

4. Pricing and Payment

You can preview your Memory Gallery for free. To download and keep your full Memory Gallery, payment is required.

Current pricing: $15 for the first tape, plus $5 for each additional tape. Tapes over 2 hours count as 2 tapes.

Payments are processed securely by Stripe. All sales are final once you've downloaded your Memory Gallery.

5. Refunds and Processing Failures

Since you can preview your Memory Gallery before paying, refunds are generally not offered once you have downloaded your Memory Gallery.

If processing fails or produces materially incomplete results, your sole remedy is a re-processing attempt or a refund of the amount paid for that specific processing job. We are not liable for any consequential, incidental, or indirect damages arising from processing errors or failures.

6. Data Retention

We retain your tapes and processed data for 120 days after your last activity. After this period, your data may be automatically deleted without notice.

Paid customers receive 30 days of hosted access included. Additional hosting is available as an optional subscription.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may modify or discontinue features with reasonable notice.

8. Not a Backup Service

TapeMemories is an indexing and access service — it is not a backup or archival service. We make no guarantee of indefinite storage. You are solely responsible for maintaining your original digitized tape files and any other copies of your content. We strongly recommend retaining your source files before uploading. We are not responsible for any loss of your original or uploaded tape files, whether due to expiration, technical failure, or any other cause.

9. AI-Generated Content

Scene descriptions, transcriptions, and other AI-generated content are produced automatically and may contain errors, omissions, or inaccuracies. We make no guarantee as to the accuracy or completeness of AI-generated content. The Memory Gallery is provided for personal, informational use only and does not constitute legal, archival, or evidentiary records.

10. Limitation of Liability

The service is provided "as is." To the maximum extent permitted by law:

• We disclaim all warranties, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages, including loss of data, loss of profits, or emotional distress
• Our total liability arising from any single claim is limited to the amount you paid us for the specific service giving rise to that claim

11. Indemnification

You agree to indemnify and hold harmless Ziptar Labs LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the service, your content, or your violation of these terms.

12. Dispute Resolution

Informal resolution first: Before initiating any legal action, you agree to contact us at [email protected] and give us 30 days to resolve the dispute informally.

Individual claims only: Any dispute must be resolved on an individual basis. You waive any right to bring or participate in a class action, collective action, or representative proceeding against us.

Venue: If a dispute proceeds to litigation, you agree that it will be heard exclusively in the state or federal courts located in Bexar County, Texas, and you consent to personal jurisdiction there.

13. Changes to Terms

We may update these terms. Continued use after changes constitutes acceptance. We'll notify you of significant changes via email.

14. Termination

We may suspend or terminate your access if you violate these terms. You may stop using the service at any time.

15. Text Messages (SMS)

We may send you transactional text messages when you provide a mobile number, including: account verification codes, notification when your Memory Gallery is ready, notifications when someone requests an invite to your collection, one-time access codes for invite-only shares, and confirmation when your invite request is approved.

Consent: By providing your phone number, you consent to receive these SMS messages. You are not required to consent to SMS to use the service where an alternative (e.g., email) is available.

Frequency: Messages are sent only in connection with your use of the service (transactional). We do not send marketing or promotional text messages.

Opt-out: You may opt out at any time by replying STOP to any message. Reply HELP for assistance. After you opt out, we may send one final confirmation message.

Rates: Message and data rates may apply, depending on your wireless plan.

Carriers: Delivery depends on your carrier and is not guaranteed. Not all carriers support all message types.

Provider: SMS is delivered via Twilio in compliance with A2P 10DLC (Application-to-Person 10-Digit Long Code) requirements and carrier guidelines.

16. Governing Law

These terms are governed by the laws of the State of Texas, USA, without regard to its conflict of law provisions.
